SECTION 01

PREAMBLE

The Zimbabwe Association of Accredited Practitioners in Advertising (ZAAPA) is the recognised professional body for the advertising and communications industry in Zimbabwe. These Bylaws establish the governance framework, standards of practice, and obligations that apply to all ZAAPA members, accredited practitioners, and registered agencies.

Article 1.1

Purpose

These Bylaws are established to promote and maintain high standards of professional practice within Zimbabwe's advertising industry, to protect the interests of advertisers, consumers, and practitioners, and to foster a credible, transparent, and sustainable advertising ecosystem.

Article 1.2

Scope of Application

These Bylaws apply to all individuals and organisations that hold ZAAPA membership or accreditation, including but not limited to:

  • Accredited advertising agencies and their principals
  • Professional practitioners holding individual accreditation
  • Freelance and associate practitioners
  • Student members of ZAAPA

SECTION 02

DEFINITIONS

For the purposes of these Bylaws, the following terms shall have the meanings assigned to them herein.

Article 2.1

Key Definitions

  • "ZAAPA" means the Zimbabwe Association of Accredited Practitioners in Advertising.
  • "Member" means any individual or organisation holding a valid ZAAPA membership in any tier.
  • "Accredited Practitioner" means a professional who has satisfied ZAAPA's accreditation criteria and holds a current accreditation certificate.
  • "Accredited Agency" means an advertising or communications agency that has satisfied ZAAPA's agency accreditation criteria.
  • "The Board" means the ZAAPA Board of Directors as constituted from time to time.
  • "The Committee" refers to any standing or ad hoc committee constituted by the Board.
  • "Code of Ethics" means the ZAAPA Code of Ethics as published and amended from time to time.
SECTION 03

MEMBERSHIP & ACCREDITATION

ZAAPA membership is open to all individuals and organisations operating within Zimbabwe's advertising and communications industry who meet the eligibility criteria set out in this section.

Article 3.1

Membership Tiers

ZAAPA offers membership across three tiers:

  • Agency Membership — Open to advertising agencies, media agencies, and marketing communications firms operating in Zimbabwe.
  • Freelance Membership — Open to individual advertising professionals, consultants, and independent practitioners.
  • Student Membership — Open to enrolled students at recognised educational institutions undertaking courses in advertising, marketing, or communications.
Article 3.2

Accreditation Requirements

All applicants for accreditation must satisfy the following minimum requirements:

  • Proof of relevant professional experience or academic enrolment
  • Adherence to the ZAAPA Code of Ethics
  • Payment of applicable membership and accreditation fees
  • Submission of a completed application form to secretariat@zaapa.co.zw
  • Satisfactory completion of any assessment or review required by the Membership Committee
Article 3.3

Renewal of Accreditation

Accreditation must be renewed annually. Members will be notified of renewal requirements not less than sixty (60) days before expiry. Failure to renew within the prescribed period will result in suspension of accreditation status.

SECTION 04

CODE OF ETHICS

All ZAAPA members are bound by the ZAAPA Code of Ethics. Membership constitutes acceptance of these ethical obligations.

Article 4.1

Core Ethical Principles

Members shall at all times conduct themselves in accordance with the following principles:

  • Honesty — All advertising produced by or on behalf of members must be truthful and not misleading.
  • Transparency — Members must be transparent about the nature of advertising content and the commercial relationships that underpin it.
  • Social Responsibility — Members must consider the social impact of their advertising and avoid content that is harmful, discriminatory, or offensive.
  • Fair Competition — Members must not engage in practices that unfairly disadvantage competitors or mislead clients.
  • Confidentiality — Members must protect client confidentiality and not misuse proprietary information.
  • Professional Integrity — Members must uphold the reputation of the advertising profession in all their dealings.
Article 4.2

Conflicts of Interest

Members must disclose any actual or potential conflicts of interest to clients and relevant parties, and must not allow such conflicts to compromise the quality or integrity of their professional services.

SECTION 05

ADVERTISING STANDARDS

All advertising produced, placed, or endorsed by ZAAPA members must meet the standards set out in this section and the ASA Code of Practice.

Article 5.1

General Standards

  • Advertising must be legal, decent, honest, and truthful.
  • Advertising must not be misleading, deceptive, or likely to cause confusion.
  • Advertising must not contain content that is harmful, offensive, or likely to cause public harm.
  • Advertising directed at children must comply with additional protective standards.
Article 5.2

Substantiation of Claims

Members must be able to substantiate all factual claims made in advertising material. Evidence supporting such claims must be held and available for review upon request by ZAAPA or the ASA.

SECTION 06

PRACTITIONER OBLIGATIONS

All accredited practitioners bear individual professional responsibility for their conduct and the advertising work they produce or advise on.

Article 6.1

Professional Development

Accredited practitioners are expected to maintain and develop their professional competence through ongoing learning, participation in ZAAPA forums and training programmes, and engagement with industry developments.

Article 6.2

Reporting Obligations

Practitioners who become aware of unethical conduct or violations of these Bylaws by other members are encouraged to report such conduct to ZAAPA through the established complaints process.

SECTION 07

AGENCY OBLIGATIONS

Accredited agencies carry obligations both as organisations and in respect of the conduct of their staff and the advertising they produce.

Article 7.1

Staff Compliance

Accredited agencies are responsible for ensuring that all staff engaged in advertising work are aware of and comply with these Bylaws and the ZAAPA Code of Ethics. Agencies must have internal processes for ensuring standards compliance.

Article 7.2

Client Relationships

Agencies must maintain honest, transparent, and professional relationships with clients — including full disclosure of media remuneration arrangements, third-party costs, and any commercial interests that may affect the advice provided.

SECTION 08

COMPLAINTS & DISPUTES

ZAAPA maintains a fair and transparent complaints process for matters relating to member conduct and compliance with these Bylaws.

Article 8.1

Scope of ZAAPA's Complaints Process

ZAAPA's complaints process covers matters of professional conduct, membership obligations, and compliance with these Bylaws. Complaints relating to the content of advertising (i.e. whether an advertisement is misleading, offensive, or non-compliant) fall within the jurisdiction of the ASA.

Article 8.2

Lodging a Complaint

Complaints against a ZAAPA member may be lodged in writing to the ZAAPA Secretariat. The complaint must:

  • Identify the member or organisation against whom the complaint is made
  • Describe the conduct that is the subject of the complaint
  • Provide supporting evidence where available
  • Be signed by the complainant and submitted to secretariat@zaapa.co.zw
SECTION 09

DISCIPLINARY PROCEDURES

ZAAPA maintains a fair disciplinary process to address breaches of these Bylaws and the Code of Ethics.

Article 9.1

Disciplinary Outcomes

Following investigation, the Disciplinary Committee may impose any of the following sanctions:

  • A formal written warning
  • A requirement to complete specified training or remedial action
  • Suspension of ZAAPA membership for a defined period
  • Termination of ZAAPA membership and accreditation
  • Publication of the finding (in cases of serious misconduct)
Article 9.2

Right of Appeal

Any member subject to disciplinary action has the right to appeal the decision to the ZAAPA Board within thirty (30) days of receiving written notification of the outcome. The Board's decision on appeal is final.

SECTION 10

INDUSTRY GOVERNANCE

ZAAPA operates within a broader framework of industry governance and maintains active relationships with key stakeholders.

Article 10.1

Relationship with the ASA

ZAAPA and the Advertising Standards Authority (ASA) operate as complementary bodies within Zimbabwe's advertising industry. ZAAPA's role is as an industry body focused on accreditation, standards development, and advocacy. The ASA's role is enforcement and compliance. Both bodies will endeavour to maintain a cooperative working relationship in the best interests of the industry.

Article 10.2

Amendments to These Bylaws

These Bylaws may be amended by resolution of the ZAAPA Board, following a period of member consultation of not less than thirty (30) days. Amended Bylaws will take effect from the date specified by the Board and will be published on the ZAAPA website.
